1. Definitions

"ClimaSync" or "Service": the SaaS software platform for HVAC system management provided by ClimaSync S.r.l.
"User": any natural or legal person who accesses or uses the Service.
"Account": the set of credentials and data associated with a registered User.
"Content": all data, information, files, and materials uploaded by the User to the Service.

2. Acceptance of Terms

By using ClimaSync, the User fully accepts these Terms of Service. If you do not accept these terms, you are not permitted to use the Service.

ClimaSync S.r.l. reserves the right to modify these Terms at any time. Changes will be communicated via email or through notice on the Service.

3. Service Description

ClimaSync is a cloud platform for HVAC companies that offers:

Client and plant registry management
Digital Plant Logbook compliant with Italian regulations
Automatic synchronization with regional cadastral systems
Intervention planning and management
Mobile app for technicians with offline capabilities
Maintenance contract management
Reporting and analytics

4. Registration and Account

To use the Service, you must:

Create an account providing truthful and complete information
Keep your login credentials confidential
Immediately notify any unauthorized use of your account
Be of legal age or have authorization from a legal guardian

The User is responsible for all activities performed through their account.

5. Plans and Payments

ClimaSync offers different pricing plans (Starter, Professional, Enterprise) with specific features and limits. Prices are indicated on the website and may be subject to changes with 30 days notice.

Payments are monthly or annual, in advance
Invoices are issued electronically via SDI (Italian e-invoicing)
Refunds are only provided in cases required by law
In case of non-payment, the Service may be suspended after 15 days

6. Acceptable Use

The User agrees to:

Use the Service in compliance with applicable laws
Not upload illegal, defamatory content or content that violates others' rights
Not attempt to access unauthorized parts of the system
Not interfere with the operation of the Service
Not resell or sublicense the Service without authorization

7. Intellectual Property

The Service, including software, design, trademarks, and documentation, is the exclusive property of ClimaSync S.r.l. The User does not acquire any ownership rights to the Service, but obtains a limited, non-exclusive, revocable license to use.

Content uploaded by the User remains their property. The User grants ClimaSync a limited license to process such Content for the purpose of providing the Service.

8. Service Availability

ClimaSync commits to ensuring Service availability of 99.5% on a monthly basis, excluding scheduled maintenance (communicated at least 48 hours in advance) and force majeure events.

Higher service levels are not guaranteed for the Starter plan.

9. Limitation of Liability

ClimaSync S.r.l. shall not be liable for:

Indirect, incidental, or consequential damages
Data loss caused by the User or third parties
Interruptions due to force majeure
Improper use of the Service by the User

ClimaSync's maximum liability is limited to the amount paid by the User in the last 12 months.

10. Backup and Data Security

ClimaSync performs automatic daily backups of data. However, the User is encouraged to maintain their own copies of critical data. Data export is always available in standard format.

11. Termination and Withdrawal

The User may withdraw at any time by deactivating their account from settings. Data will be kept for 30 days, then permanently deleted.

ClimaSync reserves the right to suspend or terminate the account in case of violation of these Terms, with 7 days notice (except for serious violations).

12. Applicable Law and Jurisdiction

These Terms are governed by Italian law. For any dispute, the Court of Milan shall have exclusive jurisdiction.
